These Terms & Conditions govern your use of the VyaparMart website and mobile application (together, the "Platform"). By creating an account, listing a business, posting a requirement, or otherwise using the Platform, you agree to these terms. If you are using the Platform on behalf of a company, you confirm that you are authorised to accept these terms for that company.

1. What VyaparMart is

VyaparMart is a business-to-business marketplace. We help buyers discover suppliers and help suppliers list their products and services. We are an intermediary: we do not manufacture, stock, inspect, sell, or deliver any goods, and we are not a party to any contract you enter into with another user. Price, quality, delivery, warranty, invoicing and payment are agreed directly between the buyer and the seller.

2. Who may use the Platform

You must be at least 18 years old and legally able to enter into contracts. Accounts are for genuine business use. You may not create an account using someone else's identity, phone number, or business details.

3. Your account

You are responsible for the accuracy of the information you provide and for everything done through your account. Keep your password and one-time codes to yourself; tell us promptly if you believe your account has been used without your permission. We may suspend or close an account that is inactive, duplicated, or used in breach of these terms.

4. Seller obligations

• List only products and services your business can genuinely supply.
• Keep prices, minimum order quantities, specifications and stock information current.
• Hold the licences, registrations and approvals your trade requires, including GST registration where applicable.
• Use your own photographs and descriptions, or content you have the right to use.
• Respond to buyer enquiries honestly, and honour what you commit to in writing.
• Do not list anything whose sale is restricted or prohibited by Indian law.

5. Buyer obligations

Post requirements that reflect a real intention to buy. Do not use seller contact details for unsolicited marketing, for building lists, or for any purpose other than the enquiry you raised. Verify a supplier's credentials and agree commercial terms in writing before you pay any money.

6. Verification and badges

Where a listing shows a verification badge, it means an administrator has reviewed documents the seller submitted at a point in time. It is not a guarantee of the seller's solvency, capacity, product quality, or performance, and it does not replace your own due diligence.

7. Content you post

You keep ownership of the content you upload. You grant us a non-exclusive, royalty-free licence to host, display, resize and distribute it for the purpose of operating and promoting the Platform. You confirm that your content does not infringe anyone's intellectual property, privacy, or other rights. We may remove content that breaches these terms or the law, and we may do so without notice where the content is unlawful.

8. Prohibited use

• Scraping, bulk-extracting, or systematically copying listings or contact details.
• Posting false, misleading, defamatory, obscene, or infringing content.
• Impersonating another business or person, or misrepresenting an association with one.
• Interfering with the Platform's operation, security, or availability.
• Using the Platform to send spam, malware, or fraudulent payment requests.

9. Paid plans

Some seller features are sold as subscription plans. The price, duration, and inclusions shown at the time of purchase apply for that term. Plans do not renew automatically unless the purchase page says so. Cancellation, refunds and billing disputes are covered by our Refund and Cancellation Policy.

10. Disputes between users

Disagreements about an order, payment, or delivery are between the buyer and the seller. We may, at our discretion, share information we hold to help resolve a dispute or to comply with a lawful request, but we are not obliged to mediate and we do not act as an arbitrator.

11. Availability

We work to keep the Platform available, but we do not promise uninterrupted service. Features may change, and maintenance may make parts of the Platform temporarily unavailable.

12. Limitation of liability

To the extent permitted by law, VyaparMart is not liable for indirect or consequential loss, loss of profit, loss of business, or loss of data arising from your use of the Platform or from any dealing with another user. Where liability cannot be excluded, it is limited to the amount you paid us in the twelve months before the claim arose, or ten thousand rupees, whichever is higher. Nothing here limits liability that cannot lawfully be limited.

13. Indemnity

You agree to indemnify VyaparMart against claims, losses and reasonable legal costs arising from your content, your listings, your transactions with other users, or your breach of these terms.

14. Suspension and termination

You may close your account at any time. We may suspend or terminate access where we reasonably believe these terms have been breached, where required by law, or to protect other users. Obligations that by their nature survive termination continue to apply.

15. Governing law

These terms are governed by the laws of India. Courts having jurisdiction at the location of our registered office will have exclusive jurisdiction over any dispute arising out of them.

16. Changes

We may update these terms as the Platform develops. The date at the top shows when they last changed, and continuing to use the Platform after a change means you accept the updated terms.
